PRIVACY POLICY AND FAQ

THIS POLICY AND FAQ ("POLICY") EXPLAINS THE PRIVACY PRACTICES OF THE WEBSITE ACCESSIBLE AT HTTP://WWW.READYPING.COM (THE "READYPING WEBSITE"), WHICH IS OPERATED BY READYPING, INC., AN ILLINOIS CORPORATION ("READYPING"), AND ALL SERVICES OFFERED ON OR THROUGH THE READYPING WEBSITE BY READYPING (THE "SERVICE").

THIS POLICY APPLIES TO ALL USERS OF THE SERVICE OR THE READYPING WEBSITE, WHETHER OR NOT YOU CLICK "I AGREE" THROUGH ANY REGISTRATION FORM OR LOG-IN TEMPLATE ON THE READYPING WEBSITE AND WHETHER OR NOT YOU ARE THE REGISTERED HOLDER OF A READYPING ACCOUNT (A "MASTER ACCOUNT HOLDER") OR ANOTHER USER. ReadyPing knows that you care about how your personal information is used and shared and we take your privacy very seriously. Any information you give us is held with care and security, and will only be used as described in this Policy or otherwise with your consent.

1. What is the ReadyPing Service and why is my information needed?

ReadyPing is an online service that allows users to easily send notification messages directly to their customers’ (“Customer Recipients”) mobile telephones. In order to provide the Service in a secure fashion, to avoid unauthorized account access, to provide Service customizations on a per-account basis, to track and bill usage, and for other business purposes, we require a password protected master account to be created for each business (or other group of common users) to access to the Service.

2. What information does ReadyPing gather or track?

To register a master account, a Master Account Holder must complete one or several registration forms, which require the Master Account Holder to provide his, her, or its name, a password meeting certain security criteria, a valid e-mail address for the Master Account Holder, payment card billing information (which will not be used to bill during any free trial), and other contact or identifying information. Thereafter the Master Account Holder or other users of such master account may be asked to provide all or a portion of such information (such as the account’s email address and password) in order to validate permission to access the master account and use the Service under that account.

During registration or at various times after, ReadyPing may also ask for other information useful to providing or improving the Service, such as your business name, the services or products your business offers, information pertaining to demographic characteristics such as your technology or communications services purchasing preferences, or how you found ReadyPing. Information may also be collected by your presence on the ReadyPing Website, even if you have not registered a master account or used the Service, or by your use of the Service, such as when you input your customer’s name and mobile telephone number.

Generally, the information ReadyPing collects or acquires falls into four categories: (1) "Personal Information," such as name and e-mail address, which can be used to personally identify or contact the Master Account Holder (or possibly other users), or to confirm user identity or permission to access the Service, (2) "Billing Information," such as payment card information and billing address, which is a subset of Personal Information and which we use to bill the Master Account Holder for the Service, (3) "Usage Information" which arises out of use of the Service or presence on the ReadyPing Website, such as Service plan choices, Service usage levels, communications history, Customer Recipients’ mobile telephone numbers and names, message transmission times, and the content of any messages transmitted, your IP address, click patterns on the ReadyPing Website, and other user session records, and (4) "Anonymous Information" which can be aggregated across users and then used to determine the demographics, habits, preferences, or statistical characteristics of the ReadyPing Website or Service users, but which cannot be used to identify any specific person or usage history. Anonymous Information may include portions of Personal Information and Usage Information which have been decoupled from any information identifying a particular master account or user and aggregated with that of other Service or ReadyPing Website users.

3. How does ReadyPing use my information?

When a Master Account Holder registers for a free trial of the service, ReadyPing will validate the Billing Information and determine eligibility for our one-time free trial (to the extent we continue to offer free trials; we reserve the right to discontinue offering, or to refuse to provide, free trials at any time and for any reason). Billing Information will then be used to establish a master account subscription with ReadyPing should the Master Account Holder decide to continue using the Service after the free trial, and then also to bill the Master Account Holder for the Service and to provide technical and billing support.

ReadyPing uses Personal Information (1) to regulate access to the master account, the Service, and the ReadyPing Website (such as requiring a password login); (2) to personalize and enhance your experience when visiting the ReadyPing Website or using the Service; (3) to promote to you ReadyPing or ReadyPing endorsed products or services or to update you on the benefits and features of our Service (including contact by e-mail, such as a periodic ReadyPing newsletter); (4) to assist our partners and sponsors in promoting to you their products or services (including contact by e-mail), provided that you may opt-out of receiving future promotions from us or such third parties by the “opt-out” capabilities within such promotions, and (5) for other internal or administrative purposes consistent with our mission of providing the highest quality Service in a secure manner, including contacting the Master Account Holder with billing receipts, confirmation e-mails, customer service updates, and other communications necessary or useful in operating the Service.

ReadyPing will use Usage Information to provide the Service in accordance with the preferences, choices, and instructions you configure for the Service (such as transmitting the messages you request be sent), and may decouple Usage Information from Personal Information in order to use it as Anonymous Information. We may also, with your Customer Recipients’ express permission and/or as may otherwise be consistent with laws and regulations governing text-messages, electronic mail, and telemarketing, use Usage Information to promote, or assist our partners and sponsors in promoting, products or services in which Customer Recipients may be interested, provided Customer Recipients may opt-out of receiving future promotions by the “opt-out” capabilities within such promotions.

We use Anonymous Information to optimize our marketing and product development efforts (such as keyword advertising purchases and search engine optimization), to determine the success of our marketing campaigns, to provide demographic information to sponsors, advertisers and partners, and other relevant commercial and marketing purposes.

In addition, ReadyPing specifically reserves the right, to the maximum extent permitted by law, to use or disclose any Information (1) for the purposes of enforcing our user agreements, use policies and the like and (2) when requested by law enforcement agencies (whether or not under subpoena), if we reasonably suspect a violation of our user agreements or use policies or any applicable law.

4. With whom does ReadyPing share Information?

ReadyPing may use third party providers and subcontractors for the Service or any feature offered on the ReadyPing Website. For example, we necessarily have to provide our communications carriers with your customer’s mobile telephone number and the content of your message in order to transmit your message to your customer. Service through these providers may necessarily include providing them with some or all of your Personal Information, Billing Information (for credit card processing, collections, and related matters), and your Usage Information, but we will use diligent efforts to restrict use of this Information by these third parties to the purpose for which the third party has been engaged.

We may also make certain Personal and Usage Information available, on a limited basis and subject to ReadyPing’s continued control, to our sponsors and marketing partners as discussed above under Section 3.

We may also provide Anonymous Information to our sponsors, advertisers and partners so that they may track the success of their advertising and promotional efforts, for example, to determine the demographic attributes and use preferences of visitors to pages in the ReadyPing Website that feature their products or services.

Additionally, ReadyPing may share your Information with parents and affiliates under its control or common control, subject to the same restrictions described in this Policy, and all information in ReadyPing’s possession may be transferred or assigned by ReadyPing in conjunction with a merger or the sale of all or a portion of the ReadyPing business (or similar event).

5. How can I review, correct and update my personal information?

A Master Account Holder may modify the Personal Information or Billing Information pertaining to his, her or its account by visiting the “My Account” page for such master account, provided that, for security reasons and your own protection, certain items may only be modified manually after review by ReadyPing. Please use the Contact Us function of the ReadyPing Website if you would like any such information to be modified, and provide us with all relevant details of your request, but please do not email us any payment card information as email is not a secure method of communication.

6. Does ReadyPing obtain any information (or track my usage) in any way that does not require me to actively provide it?

ReadyPing uses a feature of your Web browser called a "cookie" -- a file that your browser places on your computer's hard drive to uniquely identify your computer. ReadyPing creates and then uses cookies to make log-in more convenient on the ReadyPing Website, to tell us whether you have previously visited the ReadyPing Website, to track your clicks through the website, and to help us determine whether you came to ReadyPing from a particular Internet link or advertisement. Cookies can also be used to save and retrieve passwords and to save information on past usage of features and other preferences. ReadyPing does not and cannot use cookies to retrieve Personal Information about you from your computer unless such information was knowingly and willingly provided by you.

Additionally, some of our business partners, sponsors, and advertisers may use cookies through the ReadyPing Website (for example, advertisers) to track the success of their advertising and marketing efforts, which is standard practice for many of the websites you may visit.

If you wish to restrict how cookies are placed on your computer, please check your browser settings, or check your browser's "Help" information for instructions on how to enhance the security of your browser or limit use of and access to cookies. Please note that your browser's security settings may disable some features or services on certain websites, including the ReadyPing Website: for example, the ReadyPing Website uses cookies to preserve a user session and keep users logged into the Service; so if your browser security settings are too restrictive, you may be required to repeat your log-ins at certain intervals.

Similarly, ReadyPing, its advertisers and partners may also use "web beacons" (small image files which are used to track presence on web pages and surfing patterns) in a similar fashion to cookies, except that web beacons do not store any personal information on your computer. We may also use web beacons or similar technology to track clicks from our newsletters and the like.

Finally, servers owned or controlled by ReadyPing will log each website visitors' IP address, browser type, referring and exiting URLs, and other statistical and technical information. Except for policy, agreement, and law enforcement purposes, ReadyPing will treat this as Anonymous Information.

7. How does ReadyPing protect my information from loss, misuse or alteration?

ReadyPing has appropriate technical and organizational security measures in place to reasonably protect against the loss, misuse and alteration of user data under our control. For example, we use appropriate SSL encryption for payment card transactions when we bill you for the Service, we impose strict rules on ReadyPing employees who have access either to the databases that store member information or to the servers that host our services, and we use firewalls to protect our servers. While we cannot guarantee that loss, misuse or alteration of data will not occur, we make diligent efforts to prevent such unfortunate occurrences. Under no circumstances will we be liable for any breach of security due to the fraudulent or unlawful act of any third party or due to any user’s activities.

Please note that information or data you may input, collect, or store, other than Billing Information, cannot practicably be stored in a manner which is PCI (payment card industry) or HIPAA (healthcare patient confidentiality and security) compliant. Accordingly, other than the Billing Information which we specifically request, we do not recommend that you use the service to transmit, collect or store any sensitive financial, payment, or personal information, and we cannot be responsible in any manner if you do so.

Additionally, we strongly recommend that you keep all of your user information, such as account IDs, passwords, and other sensitive information secret and not disclose such information to anyone else. We cannot be responsible for any use of this information should you disclose it to anyone else, or for the use or distribution of any of your information or data stored on the ReadyPing Website or with the Service if it is obtained via use of your account ID or password. Please note that ReadyPing will never email you to "phish" for (attempt to convince you to disclose) your password. If you believe your password has been compromised, we recommend that you immediately change your password. For information on how to do this, please see item number 5 above.

8. Does this Policy apply to other websites that I reach through links on the ReadyPing Website?

The general answer is “no.” The ReadyPing Website may contain links to third party websites and advertisements leading to promotions of third party products and services. ReadyPing is not responsible for the privacy practices of such other websites. We encourage our users to be aware when they leave our website and to read the privacy statements of each website that collects personally identifiable information. This Policy applies solely to information collected by the ReadyPing Website or the Service, and other websites operated or controlled by ReadyPing, and not any third party website.

9. How can I stay informed of any changes to the Privacy Policy?

ReadyPing reserves the right to reasonably modify this Policy at any time by publication on the ReadyPing Website, by notice through email to the Master Account Holder, or by transmission through the Service. All such modifications will be binding on all registrants and users, and continued use of the Service after such changes constitutes your agreement to this Policy as modified. If you are concerned, please check back periodically to review the current ReadyPing Privacy Policy.

If you do not agree with any such changes, or if you no longer wish to be subject to this Policy, you may discontinue use of the Service, and if you are a Master Account Holder, you may contact ReadyPing to cancel the applicable account, and upon complete payment of any amounts due and owing under your account (or the account you use), ReadyPing will use diligent efforts to delete your Personal and Billing Information.

Miscellaneous Issues not covered above:

Children

The ReadyPing Website and the Service are not intended for use by children or minors. We ask that children and minors not use the website or the Service without their parents' guidance and only after their parents have fully reviewed the terms applicable to such use, including the contents of this Policy.

Priority

The terms contained in this Policy are subordinate to any contrary terms contained in any express user or membership agreement between a user and ReadyPing or to any express written agreement containing the signatures of authorized representatives of both parties.

Liability

ReadyPing’s liability from or arising out of this Policy or any breach thereof is subject to the general limits of liability stated in the ReadyPing Terms of Service. Without limitation to the foregoing, under no circumstances shall ReadyPing be liable for indirect, special, consequential, punitive, or other damages other than direct damages, for or in respect of any violation of this Policy, and should ReadyPing be found liable for any reason whatsoever and pursuant to any legal theory whatsoever, ReadyPing’s liability shall be limited to the fees for the Service paid by the applicable Master Account Holder for the six (6) months prior to the date such liability arose, or, if less, $100.00.
